Account Agreement

1. Introduction

This Account Agreement (“Agreement”) governs your account with StellarPay, a digital banking service provided by Stellar Technologies, Inc. By opening and maintaining an account with us, you agree to be bound by this Agreement and any related terms, policies, and guidelines.

2. Account Types
StellarPay offers the following types of accounts:
•Personal Accounts: Designed for individual users to manage their personal finances.
• Business Accounts: Tailored for businesses to manage corporate finances, including payments, payroll, and international transactions.

Details regarding specific features, limits, and requirements of each account type will be provided upon account registration.

3. Account Opening and Eligibility

To open an account with StellarPay, you must meet the following requirements:
• Be a t least 18 years old or the legal age of majority in your jurisdiction.
• Be a resident of one of the countries where StellarPay operates, including the United States and select African countries (Kenya, Ghana, South Africa, Uganda, Tanzania, Zambia, Senegal, Ivory Coast, Rwanda, and Cameroun).
• Provide accurate, complete, and truthful information during the registration process.
StellarPay reserves the right to reject account applications at its discretion.

4. Identity Verification

To comply with regulations and ensure the security of our platform, StellarPay requires identity verification for all account holders. You agree to provide documentation, including but not limited to government-issued identification, proof of address, and any other information deemed necessary to verify your identity. Failure to comply with verification requests may result in the suspension or closure of your account.

5. Account Usage

Your StellarPay account is intended solely for personal or business use, depending on the account type. You agree not to use your account for illegal activities, including but not limited to money laundering, fraud, or financing terrorism.

6. Multi-Currency Accounts

StellarPay provides multi-currency accounts that allow you to hold and transact in different currencies. You understand that:
• Currency conversion rates may fluctuate, and StellarPay is not responsible for any losses due to these fluctuations. • Fees may apply for currency conversion services, and you will be informed of these fees before completing a transaction.

7. Account Security

You are responsible for maintaining the security of your account, including keeping your login credentials confidential. StellarPay employs security measures such as two-factor authentication, but you must take reasonable steps to protect your devices and accounts from unauthorized access.
If you believe your account has been compromised, you must notify us immediately at Contact@stellarpay.app.

8. Deposits and Withdrawals

StellarPay supports deposits and withdrawals to and from your account via various methods, including bank transfers, card transactions, and mobile money services. The availability of deposit and withdrawal methods may vary depending on your location.
You agree to comply with any limits and restrictions imposed on deposits and withdrawals by StellarPay or our third-party partners. All deposits must be from verified sources and comply with anti-money laundering regulations.

9. Transaction Limits

StellarPay may impose transaction limits based on factors such as account type, verification status, and regulatory requirements. You will be informed of applicable limits during account setup and through notifications when transactions exceed those limits.

10. Fees and Charges

StellarPay may charge fees for certain account-related services, including but not limited to:
• International transfers • Currency conversion • Business account services

All applicable fees will be clearly disclosed to you before completing any transaction. By using our services, you agree to pay any fees associated with your account as they become due.

11. Statements and Records

StellarPay will provide you with electronic account statements on a regular basis. You are responsible for reviewing these statements and notifying us promptly of any unauthorized transactions or discrepancies. You agree to keep records of your transactions for your own reference.

12. Privacy and Data Protection
StellarPay is committed to protecting your personal information in accordance with our Privacy Policy.
By maintaining an account with us, you consent to the collection, use, and sharing of your personal information as described in the Privacy Policy.
We will never sell your personal information to third parties. However, we may share information with third parties such as regulatory authorities, partners, or service providers when necessary to provide our services or comply with legal obligations.

13. Account Closure

You may close your account at any time by notifying StellarPay. Upon closure, any remaining funds in your account will be transferred to a verified bank account or payment method of your choice, subject to applicable fees and limits.
StellarPay reserves the right to close or suspend your account at any time, with or without cause. Reasons for account closure may include, but are not limited to:
• Violations of this Agreement or other applicable policies
• Fraudulent or illegal activities
• Failure to comply with identity verification procedures

In the event of account closure, StellarPay will provide you with instructions for receiving any remaining funds.

14. Dispute Resolution

In the event of a dispute between you and StellarPay regarding your account, we encourage you to contact us first to resolve the matter. If we are unable to resolve the dispute informally, the following provisions will apply:
• For customers residing in the United States, this Agreement is governed by the laws of the United States, and disputes will be resolved in the courts of the United States.
• For customers in other countries, local laws may apply, and disputes will be resolved in accordance with those laws.

15. Amendments

StellarPay reserves the right to amend this Agreement at any time. Any changes will be communicated to you via email or by posting the revised Agreement on our website. Your continued use of your account after such changes constitutes acceptance of the revised Agreement.

1.1 You may use our Services only for lawful purposes.
You may not use our Services:in any way that breaches any applicable local, national, or international law or regulation, or causes Stellarpay to breach any applicable law or regulation;in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;for the purpose of harming or attempting to harm minors in any way;for anything that is abusive, harmful, or does not comply with our content standards;for any unsolicited or unauthorised advertising, promotional material, or any other form of spam;to deal in harmful programs such as viruses, spyware, or similar computer code designed to adversely affect the operation of any computer software or hardware;in any way that would locally or internationally evade any applicable taxes or facilitate tax evasion.

1.2 Unsupported businesses and transactions

The restrictions below do not apply to lawful transactions using the Stellarpay Card. For more information on the acceptable use of the Stellarpay Card, please see the Stellarpay Card Supplement to the Customer Agreement.We do not support businesses or transactions which are involved in any of the following categories, such businesses or transactions may be declined. While this list is representative, it is not exhaustive, and we reserve our right to deny our services to any customers who exceed our risk tolerance.

1.2.1 Regulated or illegal products and servicesAdult content.

Pornography and other visual content depicting explicitly sexual acts.
Services of sexual nature (webcam shows, live chats, prostitution, escorts, etc).
Sexually oriented establishments (massage parlors, strip clubs, gentleman’s clubs).Alcohol businesses.Payments for the sale of alcohol to retail customers are not supported.Tobacco products.Cannabis.Products containing CBD.Any other products or services related to legal marijuana trade.Certain controlled substances or other products that present a risk to consumer safety.Smart drugs, nootropic supplements.Substances that provide similar effects as illegal drugs (kratom, khat, etc.)Anabolic steroids and peptides.Drug paraphernalia.Any equipment, product, or material which is intended for making, using, or concealing drugsPharmaceuticals.Nutraceuticals, pseudo-pharmaceuticals, and other products which make unreasonable health claims not approved or verified by the applicable regulatory body.Online pharmacies.Prescription-only pharmaceutical drugs.Payments for the sale of pharmaceutical products to retail customers are not supported.Chemicals.Commodity chemicals.Counterfeit or unauthorised goods.Unauthorised sale of designer and/or brand products.Sale of illegally imported or exported goods.Gambling.Lotteries.Fantasy sports with cash prizes.Games of chance with cash prizes.Sales of in-game currencies by unauthorised vendors.Any type of gambling payments or businesses related to Turkey, the United States, Canada, the United Arab Emirates or Singapore.Any other type of businesses related to gambling, up to Stellarpay’s own discretion.Intellectual property or proprietary rights infringement.Any product or service that directly infringes or facilitates infringement upon the copyright, patent, trademark, trade secrets, proprietary, or privacy rights of any third party.Products and services which are not legal in the jurisdiction they are being offered in.

1.2.2 Financial and other professional services
Binary options. Escrow services.
Using Stellarpay Borderless account as an escrow account.
Companies involved in the exchange or trading of cryptocurrencies, or any other virtual currencies.Including payments for the purpose of purchasing cryptocurrencies.Marketplaces from countries outside of European Economic Area and/or European Union or the United States.Money service businesses, or any businesses that carry on the activity of:Operating a bureau de change or currency exchange service.Transmitting money, or any representation of monetary value, on behalf of third parties.Cashing cheques.Payment processing.Platforms allowing the trading and/or exchanging of FX/CFD/options.
Shell banks.Superannuation funds.
Syndicates.Trust and corporate service providers that are involved in:Opening accounts on behalf of other businesses.Offshore company formation.Using nominee directors and/or shareholders to obscure company ownership.Any other financial services operating without a licence where one is required.

1.2.3 Other restricted activitiesIPTV and VOIP services.Individuals, entities, or countries subject to international sanctions.Weaponry, military and semi-military goods and services.Weapons (including weapons of historic significance), military software, or any other goods or services intended for military use.

Nonprofit organisations and charities from countries outside of Canada, European Economic Area and/or European Union, Switzerland, USA, Australia, or New Zealand.Unregistered charities are not supported from any regions.Trusts and foundations from countries outside of Canada, European Economic Area and/or European Union, Switzerland, USA, Australia, or New Zealand.Trade of restricted and/or endangered animal species and products derived from them.Multi-level marketing, pyramid schemes, get rich quick schemes, referral marketing.Including any other services promising unreasonably high rewards.The United Arab Emirates-based oil, gas and shipping companies, as well as related activities.Businesses with relations or activity directly or indirectly linked to CubaSurrogacy businesses.Currency-based restrictions as outlined in various FAQ pages.

1.3 You also agree:not to copy or use any part of our Services in contravention of the provisions of our User Agreement.not to access without authority, interfere with, damage, or disrupt:any part of our Services;any equipment or network on which our Website is stored;any software used in the provision of our Services;any equipment, network, or software owned or used by any third party.not to use your Stellarpay Account in a manner that is likely to result in complaints, disputes, reversals, chargebacks, or other liabilities to Stellarpay, other Customers, third parties, or you.
1.4 You may only use your Stellarpay Account Number to receive funds into your Stellarpay Account for the following purposes:receiving your own salary and/or wages;receiving payouts from e-commerce and freelancer platforms;receiving payments from family, friends or other people you know for personal purposes;receiving payments from your clients and other third parties for the purpose of business payments.You may not use your personal Stellarpay account to receive business payments.Content standardsThese content standards apply to any material you contribute to our Services (contributions).
2.1 Contributions must:be accurate;be genuinely held (where they state opinions);comply with applicable law in the UK and in any country from which they are posted, or to which they relate.

2.2 Contributions must not: Contain any material which is defamatory;contain any material which is obscene, offensive, hateful, or inflammatory;promote sexually explicit material;promote violence;promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;infringe any copyright, database right, or trademark of any other person;be likely to deceive any person;be made in breach of any legal duty owed to a third party such as a contractual duty or a duty of confidence;promote any illegal activity;be abusive, threatening in any way, invade another’s privacy, or cause annoyance, inconvenience, or needless anxiety;be likely to harass, upset, embarrass, alarm, or annoy any other person;be used to impersonate any person, or to misrepresent your identity or affiliation with any person;give the impression that they relate to Stellarpay, if this is not the case;advocate, promote, or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.Suspension and terminationWe alone will determine whether there has been a breach of this Acceptable Use Policy through your use of our Services.

3.1 We take breach of this policy seriously and may take the following actions:immediate, temporary, or permanent withdrawal of your right to use our Services;suspend or cancel your payment orders and take such other actions as we consider necessary; immediate, temporary, or permanent removal of any posting or material uploaded by you;issue of a warning;legal action against you including proceedings for reimbursement of all costs on an “all expenses” basis;reporting and disclosure of information to law enforcement authorities.
Changes to the Acceptable Use PolicyWe may revise this Acceptable Use Policy at any time by amending this page. We recommend checking this page regularly as it is legally binding to you.
This Acceptable Use Policy sets out the terms under which you may access our Services and applies as soon as you access and/or use StellarPay.

Terms and Conditions

‍These Terms and Conditions ("Terms") govern your use of the Stellarpay services ("Services"), operated by Stellar Technologies, Inc ("we", "us", or "our").By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

‍1. Account Registration

‍1.1 To use our Services, you may be required to register for an account with us. You agree to provide accurate, current, and complete information during the registration process.

1.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

‍2. Use of Services

‍2.1 You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in any way that violates any applicable laws or regulations.

2.2 You agree not to engage in any activity that could interfere with or disrupt the operation of the Services or the networks connected to the Services.

2.3 We reserve the right to suspend or terminate your access to the Services at any time, without prior notice, for any reason or no reason, including if we believe that you have violated these Terms.

‍3. Content
‍3.1 You retain ownership of any content that you submit, post, or display on or through the Services ("User Content"). By submitting, posting, or displaying User Content, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and sublicensable license to use, reproduce, adapt, modify, publish, translate, distribute, and display such User Content in connection with the provision of the Services.

3.2 You represent and warrant that you have all necessary rights to grant the licenses granted in Section
3.1 and that the User Content does not infringe or violate the rights of any third party.

‍4. Payments
‍4.1 You may be required to provide payment information to use certain features of the Services. By providing such information, you authorize us to charge your chosen payment method for any fees or charges incurred in connection with your use of the Services.

4.2 All payments are non-refundable unless otherwise stated in writing by us.

‍5. Privacy
‍5.1 Our Privacy Policy governs the collection, use, and disclosure of your personal information. By using the Services, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

‍6. Limitation of Liability
‍6.1 To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; or (c) unauthorized access, use, or alteration of your transmissions or content.

‍7. Governing Law
‍7.1 These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

‍8. Changes to Terms
‍8.1 We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

StellarPay E-Sign Disclosure and Consent

1. Introduction

This Electronic Signature Disclosure and Consent Agreement (“E-Sign Agreement”) applies to all electronic records and signatures related to the services provided by StellarPay, a division of Stellar Technologies, Inc. By using StellarPay’s website, mobile applications, and services, you consent to the use of electronic records and signatures under this agreement.
Please read this E-Sign Agreement carefully and keep a copy for your records.

2. Consent to Use Electronic Signatures and Records

By agreeing to this E-Sign Agreement, you consent to:
•The use of electronic signatures for legally binding contracts, agreements, and other documents.
• Receiving disclosures, agreements, statements, and notices electronically related to your use of StellarPay’s services.
• Using and storing electronic records, including contracts, account agreements, and transaction confirmations.
Your electronic signature, as well as your clicking of any “I agree,” “Submit,” or similar buttons, constitutes your agreement and signature to the same extent as if you had signed with a pen and paper.
3. Paper Copies
‍
You have the right to request paper copies of any document that you signed electronically. To obtain a paper copy, please contact StellarPay at Contact@stellarpay.app. We will provide you with a paper copy at no charge. Please ensure that your contact information is kept up-to-date to receive the documents promptly.

4. Withdrawal of Consent
You may withdraw your consent to receive electronic records or sign documents electronically at any time. To withdraw consent, you must notify StellarPay via email at Contact@stellarpay.app. Withdrawing consent may limit your access to certain services and could delay the processing of agreements or transactions.
Please note that withdrawing consent will not affect the legal validity or enforceability of any documents or agreements previously signed electronically or delivered electronically.

5. System Requirements
To access, view, and retain electronic records and documents, you must have:
• A device with internet access (computer, tablet, or smartphone).
• A current web browser (such as Google Chrome, Mozilla Firefox, Safari, or Microsoft Edge).
• A valid email account.
• A software application that can open PDF documents (e.g., Adobe Acrobat Reader).
• Sufficient storage space to retain electronic documents or the ability to print them.

It is your responsibility to ensure that your device meets these system requirements. If there is a change in the hardware or software requirements needed to access electronic records, StellarPay will notify you and provide you with the option to withdraw your consent.

6. Updating Contact Information
It is your responsibility to keep your contact information, including your email address, up-to-date so that you can receive electronic communications from StellarPay. You can update your contact information by logging into your StellarPay account and editing your profile settings or by contacting customer service at Contact@stellarpay.app.
7. Acceptance and Consent
By agreeing to this E-Sign Agreement and using StellarPay’s services, you acknowledge that:
•You have read and understood this E-Sign Agreement.
•You consent to use electronic signatures and records for all StellarPay services.
•You are able to access, view, and retain electronic documents as outlined in this agreement.
If you do not consent to the use of electronic signatures and records, you must immediately cease using StellarPay’s services.
